Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of the Aynexon business-management web applications provided by Aynexon via www.aynexon.com and its sub-portals (such as Aynexon StratIQ at stratiq.aynexon.com) and related services (collectively, the "Service"), provided by Aynexon ("Aynexon", "we", "us"), located at Dammam, Eastern Province, Kingdom of Saudi Arabia. By creating an account, subscribing, or using the Service, you ("Customer", "you") agree to these Terms. If you do not agree, do not use the Service.

2. Definitions

• Service: the Aynexon web applications (including Aynexon StratIQ at stratiq.aynexon.com and any future sub-portals), websites, and related features.
• Customer: the business or individual that registers for an account.
• User: any person the Customer authorizes to use the Service (e.g. admins, staff, drivers).
• Customer Data: all data the Customer or its Users submit to the Service.
• Subscription: the paid plan that grants access to the Service.

3. Accounts & Eligibility

You must be at least 18 years old and able to enter a binding contract. You are responsible for the accuracy of registration details, for all activity under your account, and for keeping credentials confidential. You must notify us promptly of any unauthorized use. The account administrator is responsible for managing Users and their permissions.

4. Subscriptions, Trials, Billing & Taxes

• The Service is offered on subscription plans (e.g. Launchpad, Growth, Enterprise) with different features and limits. Plan details and any usage limits (such as AI usage caps and user seats) are described in the Service.
• Free trials, where offered, are time-limited and may be subject to feature or usage limits. We may modify or end trials at any time.
• Paid subscriptions are billed in advance on a recurring basis through our payment provider (Moyasar). Prices are stated exclusive of VAT unless otherwise indicated; applicable VAT (currently 15% in Saudi Arabia) is added.
• Subscriptions renew automatically for the same period unless cancelled before the renewal date. You can cancel future renewals at any time; cancellation stops future charges and does not retroactively refund the current period.
• Fees paid are non-refundable except where required by law or expressly stated at the time of purchase.
• If a payment fails or is overdue, we may suspend or limit access until payment is resolved.

5. Customer Data & Responsibilities

As between you and us, you own your Customer Data. You grant us a limited licence to host and process it solely to provide and support the Service. You are responsible for:

• The lawfulness, accuracy and quality of all data you enter, including employee, customer and supplier personal data.
• Obtaining any required notices and consents from your employees and other individuals — including for attendance selfies, GPS location, and vehicle tracking — before using those features.
• Configuring user roles, permissions and locations appropriately, and for actions taken by your Users.
• Maintaining your own backups where you require them, in addition to the platform's measures.

6. Acceptable Use

You agree not to: use the Service unlawfully or for fraudulent purposes; upload malicious code; attempt to gain unauthorized access, probe, or disrupt the Service; reverse-engineer, copy, resell, or sublicense the Service except as permitted; exceed plan limits through automated means; or use the Service to store data you have no right to process. We may investigate violations and suspend access to protect the Service and other Customers.

7. AI Features

The Service includes optional AI-assisted features (e.g. "Ask Aynexon"). AI output is generated automatically and may be incomplete or inaccurate. You are responsible for reviewing and verifying AI output before relying on it, and must not treat it as legal, financial, tax, or professional advice. You remain responsible for decisions made using the Service.

8. Intellectual Property

The Service, its software, design, trademarks and content (excluding Customer Data) are owned by Aynexon or its licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. No other rights are granted.

9. Availability, Support & Changes

We aim to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. We may perform maintenance, update features, or modify the Service. Support is provided via support@aynexon.com. We may add, change, or discontinue features over time.

10. Suspension & Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to others or to the Service, or as required by law. On termination, your right to use the Service ends. You may export or request your Customer Data before termination; after a reasonable period (as required by applicable Saudi law), data may be deleted as described in the Privacy Policy.

11. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose, accuracy, or non-infringement, to the maximum extent permitted by law. You are responsible for your use of, and reliance on, the Service and its outputs (including payroll, tax, attendance and financial calculations).

12. Limitation of Liability

To the maximum extent permitted by law, Aynexon shall not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, or goodwill. Our total aggregate liability arising out of or related to the Service shall not exceed the amounts you paid to us for the Service in the 12 months preceding the event giving rise to the claim.

13. Indemnity

You agree to indemnify and hold Aynexon harmless from claims, damages, and expenses arising from your Customer Data, your use of the Service, your violation of these Terms, or your infringement of any rights of a third party (including your employees' or customers' data-protection rights).

14. Confidentiality

Each party will protect the other's non-public information disclosed in connection with the Service and use it only as needed to perform under these Terms.

15. Third-Party Services

The Service relies on third-party providers (including hosting, payment, email, mapping and AI providers). Their availability and terms are outside our control, and we are not responsible for third-party services.

16. Changes to These Terms

We may update these Terms. Material changes will be posted with a new "Last updated" date; continued use of the Service after changes take effect constitutes acceptance.

17. Governing Law & Disputes

These Terms are governed by the laws of the Kingdom of Saudi Arabia. Any dispute shall be subject to the competent courts of Dammam, Saudi Arabia.
